Imprezzi is a place to find events, host them, show up, and build a record of doing so. These terms are the agreement between you and us. They are written to be read, so please do. Some of it limits what we are responsible for, and one section asks you to accept the risks of meeting people in person.

1. Who we are, and what this covers

Imprezzi is operated by Imprezzi Inc., a corporation incorporated under the Canada Business Corporations Act. In these terms, "Imprezzi", "we", "us" and "our" mean Imprezzi Inc., and "you" means the person using the service.

The Services are the Imprezzi mobile app, the Imprezzi website, and the programming interfaces behind them, together with everything we offer through them.

Our Privacy Policy explains what personal information we collect and what we do with it. It forms part of these terms. By using the Services you agree to both. If you do not agree, do not use the Services.

These terms replace any earlier terms or conditions we published for Imprezzi.

There is no tolerance for objectionable content or abusive users on Imprezzi. You agree not to post content or behave in a way that is unlawful, hateful, harassing, threatening, sexually explicit, exploitative of children, defamatory, deceptive, or that promotes violence or self-harm. You agree not to do any of the following:

Search engines may crawl our public pages as our robots.txt permits. Everything else is prohibited without our written permission, specifically:

5. Reporting, moderation and enforcement

You can report an event, a person, an organization or a message in a discussion from inside the app, and you can block someone so that you no longer see each other.

We review reports of objectionable content and abusive behaviour within 24 hours. Where a report is founded, we remove or hide the content, or suspend the person or organization responsible. Reports about risk to a child are treated as the most urgent thing in the queue.

When we act on a report, we may do any of the following: take no action; keep the matter open and watch it; warn the person or organization; hide or remove content; or suspend an account, an event or an organization.

What a suspension does. A suspended account cannot sign in. The person is hidden from other users, is removed from events they had joined, and events they were hosting are cancelled. Roles they held are revoked. Records of what they did before the suspension, such as attendance other people can see, are not erased, and their profile and history are retained rather than deleted so we can review the decision later.

Paid spots are not refunded by us when an attendance ends this way. See section 10.

We do not tolerate retaliation against someone for making a report in good faith. Reporting in bad faith, or repeatedly reporting content that turns out to be fine, is itself a breach of these terms.

If you think a decision about your account was wrong, write to admin@imprezzisocials.com. A person will read it. We do not operate a formal appeals process, and we are not obliged to reverse a decision.

6. SAFETY, RISK AND RELEASE

Please read this section carefully. It limits what we are responsible for.

Imprezzi helps people find each other and meet in person. That carries real risk, and we cannot remove it.

Assumption of risk and release. You accept the risks of using the Services and of attending or hosting events, including the conduct of other people, injury, illness, loss or damage to property, and events that are cancelled, changed or not as described. To the fullest extent the law allows, you release Imprezzi from all claims arising out of an event, or out of another user's conduct, whether the event was found through Imprezzi or not.

This release does not apply to liability caused by our own gross negligence or wilful misconduct, and it does not apply where the law does not permit it. In particular, nothing here excludes liability for bodily or moral injury where that exclusion is prohibited, including under the Civil Code of Quebec.

7. The social score

Your social score is a number between 0 and 100 built from two things: what you do on Imprezzi, and what other attendees record about meeting you.

The factors that move it are the ones shown in the score guide in the app:

Impressions are anonymous. They can only be given by people who attended the same event as you, only after it has ended, and we do not tell you who gave which impression. We do not disclose that to the person rated, because doing so would make honest feedback unsafe to give.

What we keep confidential is how much each factor is worth and how the number is calculated. The weights and the formula are ours, and they are not disclosed. The factors above are not confidential, and we will not refuse to tell you what goes into your score.

Hosts can require a minimum score. Where a host has set one, a reservation request is refused automatically if your score is outside the range they set. That decision is made by software, without a person looking at it.

If you believe your score is wrong, or that you were wrongly refused a spot, write to admin@imprezzisocials.com with the details. A person will review it, will tell you what information was used, and will correct anything that is factually wrong. We do not guarantee that a score will be changed.

A score is for use inside Imprezzi. It is not a credit score, a reference, a certification or a qualification, it confers no rights outside the Services, and we do not guarantee that it is accurate or that it will stay available.

8. Hosting events

The person who creates an event is the Host. A Host can invite other organizers, and can appoint one of them as head organizer to run the event on their behalf. Whoever holds a role, the Host remains responsible for the event, and every organizer is responsible for what they themselves do and publish on it.

If you are a Host, you agree that:

Rules about who may attend

Imprezzi lets you limit a spot by capacity, by social score band, and by gender, and lets you pool a waiting list. Those are tools, and you decide how to use them.

You are responsible for the rules you set. You warrant that your attendance criteria are lawful where the event takes place, and you will indemnify us for any claim, complaint or proceeding arising from them, including under human rights or anti-discrimination law. We do not advise on whether a rule is lawful, and making a tool available is not advice that using it is lawful in your circumstances.

Attendee information

Attendees see that a Host can see their name and email address. When you view or export your attendee list, you receive their names, email addresses, and the times they joined, reserved and checked in. That is personal information about other people, and you agree that you will:

Check-in codes identify an attendee's reservation. Do not scan, copy or use them for anything other than admitting that person to your event.

9. Selling tickets

A Host may charge for spots at an event. If you do:

We charge no platform commission on ticket sales today. We reserve the right to introduce a platform fee, to change how and when connected accounts are paid out, to hold or delay a payout while a dispute or a report is open, and to set limits on ticket prices or on the total value of an event's sales. We will tell you before a fee or a payout change applies to you.

We may refuse or stop ticketing for an event, or for a seller, including where a report is open, where chargebacks or refunds are unusual, or where we believe the law requires it.

10. Buying tickets

Nothing in this section limits rights you have under consumer protection law that cannot be limited by agreement.

11. Credits, allowances and paid features

Hosting an event, using advanced event tools, and creating an organization each consume an allowance. Every account gets a free allowance that renews each period, plus a one-time credit for creating an organization. The current allowances and what they cover are shown in the app and may change.

Credits can be bought from Imprezzi. When you buy them:

We reserve the right to offer paid subscriptions, to change prices, allowances and what each tier includes, and to charge for features that are free today. Where a change affects something you have already paid for, we will tell you before it takes effect. Prices are in the currency shown at the time of purchase, and taxes may be added.

12. Organizations

An organization is a shared identity that hosts events. The member who creates it is its admin.

13. Your content, and who sees it

Content means anything you post or upload: your profile and photo, event listings and images, messages in event discussions, questions, feedback and impressions.

You keep ownership of your Content. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, adapt for display, and show your Content for the purpose of operating and improving the Services. That licence is sublicensable only to the providers that run the Services for us, such as our hosting, storage, email and payment providers, and only for that purpose. It lasts as long as we need it to operate the Services and to keep lawful records.

We will not use your Content in advertising or promotion without asking you first.

Who can see your Content depends on the event. The old version of these terms said posted images are public. That was wrong, and this is how it actually works:

You are responsible for your Content, and you confirm you have the rights you need to post it.

We may remove or refuse Content, hide an event, or withhold a feature, where we believe these terms have been breached, where we are required to, or where doing so protects people using the Services. We are not obliged to review Content before it is posted, and we do not.

Content you shared into a space other people can see, such as an event discussion, does not disappear from that space when you delete your account. See section 17.

14. Events from other sources

Some listings on Imprezzi describe events published by someone else, gathered from public sources such as a city's or a venue's own listings. They are marked as such and link to where they came from.

If you believe Content on the Services infringes your copyright, send a notice to our agent at the address in this section, including all of the following:

We remove or disable material that is the subject of a valid notice, and we tell the person who posted it. Where the law of their country requires us to pass the notice on to them rather than remove the material, we do that instead.

Counter-notice. If your material was removed and you believe that was a mistake or a misidentification, you can send a counter-notice with your signature, identification of the material and where it was, a statement under penalty of perjury that you believe in good faith it was removed by mistake, and your name, address and telephone number together with your consent to the jurisdiction of a court where you live or, if you are outside the United States, of the courts of Ontario, Canada. We may restore the material between 10 and 14 business days after we receive it, unless the person who complained tells us they have gone to court.

Sending a notice or a counter-notice that is knowingly false can make you liable for damages.

We terminate the accounts of repeat infringers.

17. Ending the agreement

You can stop using the Services at any time, and you can delete your account from the app.

What deleting does. Your profile, settings, notifications, attendance record, social score and impression history are erased, and the photos you uploaded are deleted from our storage.

What remains, and why.

The Privacy Policy gives the detail, including how long we keep things.

We may suspend or close your account, or stop offering the Services to you, if you breach these terms, if we are required to, or if we reasonably believe it is necessary to protect other people. Where it is reasonable to do so, we will tell you why.

Sections that by their nature should continue after this agreement ends do continue, including 6, 13, 19, 20 and 23.

18. Changes to these terms

We may change these terms. Each version has a number and an effective date, and earlier versions stay available at their own permanent address.

19. Disclaimers and limitation of liability

The Services are provided "as is" and "as available". To the fullest extent the law allows, we exclude all warranties, conditions and representations that are not expressly set out in these terms. In particular, we do not warrant that:

We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or opportunity, however caused.

Our total liability to you, for all claims taken together and arising out of or in connection with these terms or the Services, is limited to the greater of CAD $100 or the total amount you paid Imprezzi Inc. in the 12 months before the claim arose. Money you paid to a Host for a ticket was never paid to us and does not count toward that amount.

These limits do not apply to liability that cannot be limited or excluded by law, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit. Nothing in these terms limits or excludes rights you have as a consumer under legislation such as Ontario's Consumer Protection Act or Quebec's Consumer Protection Act where those rights cannot be limited by agreement.

20. Indemnity

You agree to indemnify and hold harmless Imprezzi Inc., its directors, officers and employees, from any claim, demand, loss, liability, cost or expense, including reasonable legal fees, arising out of or in connection with: your use of the Services; your Content; an event you host, including the attendance criteria you set and how you handled attendee information; a ticket you sold; your breach of these terms; or your breach of the law or of anyone else's rights.

21. Events outside our control

We are not liable for delay or failure to perform caused by something beyond our reasonable control, including natural events, power or network failure, a failure of a provider we depend on, cyber attack, labour dispute, epidemic, or an act of government.

These terms apply when you install the Imprezzi app from an app store, and they are in addition to the rest of this agreement. Where they conflict with the rest of this agreement for that installation, these apply.
